2. Services Description

Dulaney Animation Studios provides professional animation services including but not limited to:

• Faith-based animated films for children and adults
• Custom animation for businesses and organizations
• Ministry and church content creation
• Family-friendly short films
• Animation consulting and project management

3. Project Terms and Conditions

3.1 Project Initiation

All projects begin upon receipt of a signed agreement and required deposit. Project timelines and deliverables will be specified in individual project agreements.

3.2 Payment Terms

Payment terms are as follows:

• 50% deposit required to begin work
• Remaining balance due upon project completion
• Additional revisions may incur additional charges
• Late payments subject to 1.5% monthly interest

3.3 Revisions and Changes

We include [X] rounds of revisions in our standard pricing. Additional revisions will be charged at our hourly rate. Major changes to project scope may require additional fees.

4. Intellectual Property Rights

4.1 Client Rights

Upon full payment, clients receive full rights to the final animation work for their intended use. This includes the right to modify, distribute, and display the work.

4.2 Studio Rights

We retain the right to:

• Display work in our portfolio (unless otherwise agreed)
• Use work for promotional purposes
• Retain working files for our records

4.3 Third-Party Content

Clients are responsible for obtaining necessary rights for any third-party content (music, images, etc.) used in their projects. We are not liable for copyright infringement related to client-provided materials.

5. Confidentiality

We maintain strict confidentiality regarding client projects and information. We will not disclose project details, client information, or proprietary materials without written consent, except as required by law.

6. Limitation of Liability

Dulaney Animation Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or business opportunities
• Data loss or corruption
• Third-party claims
• Delays beyond our reasonable control

Our total liability shall not exceed the amount paid by the client for the specific project.

7. Indemnification

Clients agree to indemnify and hold harmless Dulaney Animation Studios from any claims, damages, or expenses arising from:

• Client-provided content or materials
• Client's use of final deliverables
• Breach of these Terms by the client

8. Force Majeure

We shall not be liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or technical failures.

9. Termination

Either party may terminate a project with written notice. Upon termination:

• Client is responsible for payment of work completed
• We will deliver completed work to date
• Intellectual property rights transfer upon final payment

10. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through:

1. Good faith negotiation between parties
2. Mediation (if negotiation fails)

11. Governing Law
